Ambassador Agreement
This Ambassador Agreement (the “Agreement”) is entered into as of [Date], by and between Will
of Water, a company incorporated under the laws of Switzerland, with its principal place of
business at [Company Address] (“Will of Water” or the “Company”), and **[Ambassador’s Full
Name]**, residing at [Ambassador’s Address] (“Ambassador”).
1. Purpose of Agreement
The purpose of this Agreement is to establish the terms and conditions under which the
Ambassador will represent and promote the products and mission of Will of Water.
2. Ambassador Responsibilities
2.1 Promotion and Representation:
The Ambassador agrees to promote Will of Water’s products and mission through various
channels, including but not limited to social media, events, and personal networks.
2.2 Compliance:
The Ambassador agrees to comply with all guidelines, protocols, and marketing strategies
provided by Will of Water.
2.3 Confidentiality:
The Ambassador agrees to keep all proprietary information, including business strategies, client
data, and product details, confidential and not to disclose it to any third party without the express
written consent of Will of Water.
2.4 Use of Trademarks:
The Ambassador is authorized to use Will of Water’s trademarks, logos, and branding materials
strictly for the purpose of promoting Will of Water’s products and mission, in accordance with the
Company’s guidelines.
3. Will of Water’s Responsibilities
3.1 Support and Training:
Will of Water agrees to provide the Ambassador with necessary training, marketing materials, and
ongoing support to help promote the products and mission effectively.
3.2 Commission and Incentives:
Will of Water agrees to compensate the Ambassador based on the commission structure outlined
in Schedule A of this Agreement. Any changes to the commission structure will be communicated
in writing.
4. Intellectual Property
All intellectual property, including but not limited to trademarks, logos, product designs, and
marketing materials, remain the exclusive property of Will of Water. The Ambassador agrees not to
claim ownership of any intellectual property associated with Will of Water.
5. Term and Termination
5.1 Term:
This Agreement shall commence on the date of signing and continue until terminated by either
party.
5.2 Termination:
Either party may terminate this Agreement with 30 days’ written notice. Will of Water reserves the
right to terminate this Agreement immediately in the event of a breach of this Agreement by the
Ambassador.
6. Non-Compete Clause
During the term of this Agreement and for one year after its termination, the Ambassador agrees
not to engage in any activities that compete with the business of Will of Water.
7. Limitation of LiabilityWill of Water shall not be liable for any indirect, incidental, or consequential damages arising out
of or in connection with this Agreement or the Ambassador’s activities.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Switzerland.
Any disputes arising under this Agreement shall be resolved in the courts of Zurich, Switzerland.
9. Amendments
This Agreement may be amended only in writing, signed by both parties.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes any prior
agreements or understandings, whether written or oral, relating to the subject matter hereof.
IN WITNESS WHEREOF, the parties hereto have executed this Ambassador Agreement as of the
date first above written.
The Ambassador agreement will be assigned, confirmed and signed digitally at the registration of account.
